Jurisdiction and Applicable Law

Arbitration

By agreeing to the Terms, you agree that any dispute, claim or controversy arising out of or relating to these Terms or the breach, termination, enforcement, interpretation or validity thereof, including the determination of the scope or applicability of these Terms to arbitrate, shall be determined by arbitration in Singapore before a single arbitrator. Arbitration shall be conducted in accordance with the Singapore International Arbitration Centre (SIAC) Rules in force at the time of the dispute.

The language to be used in the arbitral proceedings shall be English. The arbitration shall be kept confidential and the existence of the arbitration proceedings and any element of it (including but not limited to any pleadings, briefs or other documents submitted or exchanged and any testimony or other oral submissions and awards) shall not be disclosed beyond the arbitration tribunal, the parties, their legal representatives, and any person necessary for the conduct of the arbitration.

The arbitrator shall have the power to grant any remedy or relief that a court of competent jurisdiction sitting in Singapore could grant, including the award of monetary damages, specific performance, and injunctive relief, and the arbitral decision may be enforced in any court of competent jurisdiction. The award rendered by the arbitrator shall be final and binding on the parties.

The Terms and the rights of the parties hereunder shall be governed by and construed in accordance with the laws of Singapore, exclusive of conflict or choice of law rules.

Toolkit International Pte. Ltd. reserves the right, at our sole discretion, to modify or replace these Terms at any time.

If we make changes that are material, we will let you know by posting on our website. If you disagree with our changes, then you should stop using our Services when the changes become effective.
